Position: Contracts Manager

Location: Remote (Ideally based in California or Texas)

 

 

TGRC is partnering with an independent, fully integrated energy company that develops, constructs, owns and operates renewable energy projects and transmission assets across North America, Japan, and parts of Latin America.

 

The Contract Manager will serve as a primary point of contact for any follow-on projects for post award contract management, assurance of contract compliance, management of contract change and claims management, in association with our Energy’s Engineering and Construction Group.

 

 

ESSENTIAL FUNCTIONS:

-Draft, review, and obtain legal approval for specific categories of agreements meeting our standard document requirements such as MSAs, Task Orders, Terms and Conditions, and non-disclosure agreements while demonstrating an advanced knowledge of contract terms.

-Post award management of main EPC contracts – contract management plans, commercial risk management, contract change and claims management.

-Ensure internal and external stakeholder relationship management is on track and conducive to progress execution deliverables with the support from the Project Director.

-Provide initial review or drafts of more complicated agreements prior to issuing to our in-house engineering and construction counsel for further review.

-Identify problematic provisions of agreements; seek resolution by consulting with pertinent commercial team.

-Involvement with all disciplines/meetings to ensure contract compliance.

-Negotiate directly with vendors until consensus has been reached; provide redlined recommendations to proposed contracts.

-Consult and negotiate with commercial providers on terms of agreement.

-Consult with insurance team to ensure insurance coverage is sufficient to mitigate the risks inherent in the services to be provided in an agreement.

-Assist with responses to document production/research requests (both internally and externally generated).

-Determine that proper approval for restrictive covenants is obtained before contract is executed.

-Prepare formal correspondence to contractors in collaboration with Project Director and in-house legal counsel.

-Ensure our internal contract documents are accurate, current, and well maintained.

-Provide advice and guidance to team members relating to contract terms and conditions, owner obligations, claims avoidance, etc.

-Identify opportunities to improve processes.

-Other special projects and duties as assigned.

 

WHAT YOU WILL NEED:

-Minimum of ten years of direct contract management experience in a fast-paced corporate / large scale project environment.

-Experience developing and leading the contract management of large value EPC agreements.

-Familiarity with various forms of complex business agreements, ability to read and identify pertinent information from agreements/contracts.

-Ability to work independently with minimal supervision.

-Ability to read and comprehend complicated commercial and legal documents.

-Good organizational, planning and implementation skills, including the ability to coordinate and work in a team environment.

-Ability to manage multiple projects with shifting priorities.

-Ability to communicate effectively with all levels of personnel, both within the Company and outside firms.

-Ability to handle several requests and receipt of documents in various forms from various sources at the same time.

-Willing to travel.
