​TGRC is excited to partner a rapidly expanding renewable energy and distributed energy platform operating across the Gulf region, focused on distributed C&I solar. The company has recently been acquired by a leading global infrastructure fund and is now scaling operations, regional platform capabilities, governance, and investment activities across the UAE, Saudi Arabia, and neighboring markets in the GCC, with a diversified portfolio spanning early-stage development to operating assets.

The General Counsel will lead the full-cycle of project development from financing to commissioning, including operation and maintenance activities as well as legal, regulatory, governance, compliance, corporate and risk management matters across the UAE, KSA, and wider GCC markets.

Responsibilities

Legal Strategy & Governance

  • Build and lead the entire legal function, defining legal frameworks, policies, governance, and compliance for the platform.

  • Advise the CEO and Board on all legal matters affecting the business.

  • Establish contract standards, risk matrices, and internal legal processes.

Project Development & Delivery

  • Structure, review, and negotiate all project development agreements: land leases, offtake agreements, grid connection agreements, EPC, O&M, supply contracts, and service agreements.

  • Guide regulatory approvals, permitting, and local authority engagement.

Transactions & Financing

  • Support acquisitions, joint ventures, investment agreements, shareholder agreements, and corporate restructurings.

  • Lead legal workstreams for project finance, refinancing, and lender negotiations.

Regulatory & Compliance

  • Maintain awareness of energy regulations across GCC markets, including electricity licensing, grid compliance, sustainability frameworks, and ESG reporting.

  • Manage compliance audits, legal risk reporting, and regulatory submissions.

Expectations
  • 10-15 years PQE, preferably from energy and infrastructure industries.

  • Strong experience in project contracts, M&A, cross-border deal structuring, and regulatory matters.

  • Familiarity with GCC legal frameworks is a must.

  • Fluency in English and Arabic is a must to manage local and international stakeholders
