Job description

​Our client, a premier battery storage developer, owner and operator are seeking a Vice President (Head of Structured Finance) to join the management team. The platform are a portfolio company of a high-profile PE sustainable infrastructure investor.

The firm are developing battery projects across the US and have 2GW in operation/late stage construction and an impressive 15GW in various stages of greenfield development.

They seek to hire a Head of Structured Finance to lead all transaction activity, mainly project finance including debt and tax equity transactions and manage the Structured Finance team to support the development, construction, and operations of the Company’s growing fleet of energy storage projects. The Head of Structured Finance will report to the Company’s Chief Financial Officer.

15+ years experience in project finance including extensive tax equity experience is required. Successful track record of closing renewable energy and storage transactions also essential criteria for this position.

Key Responsibilities

The Head of Structured Finance will be responsible for leading project finance transactions, including raising tax equity and construction/term debt as well as some M&A transaction activities.

  • Lead sourcing, negotiation and structuring of transactions with financing counterparties for the Company’s utility-scale energy storage projects, ranging from tax equity, construction debt, term debt, bridge loans and other financial products such as saleleaseback or inverted lease structures.

  • The executive will oversee the loan and tax equity compliance activities as well as investor relations.

  • Manage teams performing all aspects of transaction execution including deal marketing, negotiation of financing term sheets, , structuring and financial modeling, investor due diligence, transaction documentation, and internal project management.

  • Mentor members of the Structured Finance team through the entire financing cycle of projects – structure, negotiate and close the transactions.

  • Develop and maintain valuable relationships with debt and tax equity investors in the clean energy space.

  • Work with complex project finance models for internal and external parties to evaluate energy storage projects and financing structures and ensure model assumptions are properly diligence and reflected.

  • Synthesize and model terms and conditions of construction loans, tax equity bridge loans, and sponsor equity with back-leverage loans in time and yield-based partnership flip structures.

  • Organize and manage the process to obtain third-party reports to support financings, including independent engineer reports, insurance reports and ISO market studies.

  • Create marketing materials for capital raising including teasers, CIMs, and management of data rooms.

  • Manage transaction closing processes including coordinating reviews and approvals across multi-functional teams to bring the transaction to financial close under tight timeframes.

  • Present financing proposals and transactions for review and approval of the Company’s management team and board of directors.

  • Perform other finance-related duties and special projects as assigned.

Skills and Qualifications

  • Bachelor’s degree in finance required. MBA strongly desired.

  • 15+ years of experience in project finance, tax equity, and/or investment banking.

  • Leadership experience in deal structuring, management of financings as well as team of structured finance professionals.

  • Renewable energy and energy storage experience required.

  • Widely connected within the project finance and tax equity communities.

  • Successful track record of managing complex project finance, tax equity and M&A transactions from beginning to end.

  • A thorough understanding of project financing and tax equity structures, including expertise and understanding of relevant tax and GAAP regulations, contractual matters and analytical models.

  • Expertise in financial modeling (cash flow forecasts, project scenarios analysis, project risk and return) and transaction documentation (management of relevant financial closing documentation).

  • Experience in reviewing, analyzing and negotiating and complex transaction documents.

  • Ability to lead due diligence, manage data rooms, and lead commercial negotiations.

  • Experience in creating deal marketing materials including teasers and CIMs.

  • Demonstrated ability to work in a cross-functional environment, including managing the financial, legal, and internal review and approval processes necessary to successfully close complex transactions.

  • Self-motivated with a high level of initiative, attention to detail and accountability, and an ability to multi-task and work in a deadline driven environment.

  • Proficiency in MS Office tools including Excel, Word and PowerPoint.
