Job description

Senior Associate, Energy M&A

To execute the Energy strategy and actively contribute to the of business' strategic objectives by leading and participating in (as appropriate) various workstreams relating to the origination/developing, structuring, financing, negotiation, and execution of multidisciplinary renewable energy transactions/projects. This role will be required to use an existing and advanced understanding of project development, project finance principles, project execution processes, contractual structures, project and financing documentation and industry networks associated with renewable energy projects. Actively contribute to the evaluation and execution of mergers and acquisitions transactions in the energy space. Perform all delegated accountabilities within defined quality standards, risk parameters and relevant regulatory requirements.

REQUIREMENTS:

  • Direct experience working in project finance in the power industry, including material exposure to renewables, with a top tier investment bank, advisory firm, private equity house or an international developer.

  • Demonstrated ability to work independently, lead multiple workstreams & deliver timely results.

  • Proven experience interacting with external clients, government authorities, financiers, investment partners and senior stakeholders.

  • Scoping and procuring the services of and leading multidisciplinary advisory teams.

  • Debt and equity capital raising for renewable energy projects.

  • Negotiation and review of financing term sheets, loan documentation, shareholder agreements, joint development agreements, share purchase agreements, etc.

  • Participation in the negotiation and review of EPC, Asset Management and O&M contracts

  • Participation in the negotiation and review of other project agreements such as the PPA, Transmission Agreement etc.

  • Demonstrated organisational, communication, and relationship-building skills.

  • Preparation & presentation of board, investment committee, &/or credit committee materials

  • Previous experience building strong internal and external networks, partnerships, and alliances.

  • Track record of applying the necessary financing, accounting, legal and technical principles to structure, value and/or finance large scale renewable energy projects and businesses

  • Participation in the end to end obtaining of environmental consents and relevant permits for energy projects, as well as the review thereof.

  • Participation in the closing of at least one project financing or M&A transaction

  • Performing project risk analysis and implementing mitigation measures.

  • A relevant degree.

DUTIES AND RESPONSIBILITIES:

Business Growth and Development - Opportunity Sourcing

  • The role involves monitoring the market environment for energy trends and assessing their impact on the company.

  • This includes identifying potential partners, customers, and project sites.

  • Responsibilities also include evaluating opportunities based on value and fit with the company, implementing a process for identifying growth opportunities, and facilitating prioritization for the Energy Team.

  • The role requires requesting mandates to pursue top priorities.

Business Growth and Development

  • The role involves reporting to the VP Energy and encompasses responsibilities related to due diligence, financing, negotiation, and execution of various energy projects.

  • Tasks may vary depending on project teams and objectives.

  • Key duties include origination, business development, bid preparation and negotiation, and transaction/project execution. This entails screening new opportunities, participating in project development, conducting financial analysis, managing due diligence, and coordinating negotiations.

  • The role also involves managing the energy opportunity lifecycle until handover to Operations/Company Services, ensuring compliance with the company Energy's risk and regulatory framework.

Functional Excellence

  • Standardise, simplify and speed-up functional processes and eliminate duplication.

  • Develop and apply functional best practices and promote sharing of best practices/knowledge.

  • Drive and execute functional excellence initiatives.

Subject matter expertise

  • Provide proactive advice, solutions and thought leadership to relevant business stakeholders and partners.

  • Develop & maintain an advanced knowledge of relevant legislative & regulatory amendments, of all financial instruments, and of relevant industry documentation such as PPAs, EIAs, guarantees, direct agreements, O&M agreements etc.

  • Maintain an up-to-date knowledge of the industry, new developments, competitors, potential targets, and sales processes and communicate same to the team.

Working relationships and networks

  • Ensure appropriate stakeholder relationships supporting the Strategy Development and Business Development initiatives.

  • Cultivate & manage strategic working relationships with a variety of internal & external stakeholders.

  • Understand, engage with, & influence the various players in the Energy landscape in our mutual best interests & to create awareness of the company brand as a leader in the energy space.

  • Develop or leverage existing networks with, for example, potential sponsors, developers, investors &/or debt providers, to generate investment opportunities.

  • Financial Management

  • Monitor financial performance for own projects or transaction portfolio versus the budget, ensuring leadership is aware of anticipated costs/revenues.
