Job description

We are currently seeking a highly experienced Legal Director /  Legal Counsel to oversee the legal affairs for a leading company specializing in the development, construction, and operation of battery energy storage and renewable energy projects, with a specific focus on the Japanese market, includes managing all legal facets of our projects from inception to operation.

As the principal legal authority in the region, the chosen candidate will spearhead the establishment and leadership of a dedicated legal team, reporting directly to the CEO and the General Counsel of the overarching renewable energy group.

Key Responsibilities:

  • Forge strong relationships with the CEO, General Counsel, and other Sr executives to deliver strategic legal advice and solutions.

  • Oversee the preparation, review, and negotiation of critical documents including pre-transaction agreements, project contracts, financing agreements, ensuring legal and regulatory compliance.

  • Establish and manage contract management system, handle dispute resolution, and work with external counsel to ensure project execution within budget and timelines.

  • Conduct corporate secretarial responsibilities, maintain corporate records, ensure compliance with relevant laws, including US SEC regulations.

  • Undertake legal and regulatory research, providing guidance on compliance, legal risks, and opportunities.

Qualifications:

  • At least 5-7 years of relevant legal experience, preferably gained in high-caliber law firms or in-house positions within the energy or construction industries.

  • Comprehensive expertise in areas such as lease agreements, land acquisition, renewable energy, and construction law. Experience with M&A and debt financing is advantageous.

  • Ability to work autonomously, engaging directly with top management to offer insightful legal advice.

  • Fluency in Japanese and English, with familiarity with Japan's legal and regulatory environment.
