M&A Manager – Renewable Energy IPP

The Business
Our client is a fast-growing renewable energy IPP with an established presence across Poland and wider European markets. The business is focused on the development, acquisition, financing, construction and operation of renewable energy assets, with a particular focus on utility-scale solar, wind and energy storage projects.
As the platform continues to scale its pipeline and operational portfolio, the business is looking to appoint an M&A Manager to support the origination, assessment and execution of acquisition, disposal and partnership opportunities across the Polish renewable energy market.
The Role
The M&A Manager will play a key role in supporting the company’s growth strategy through the execution of renewable energy transactions. The role will sit within the investment / corporate development function and will work closely with senior management, development, finance, legal, technical and external advisory teams.
This position is suited to someone with strong transaction execution experience, solid financial modelling capability and a good understanding of renewable energy project economics.
Key Responsibilities
Support the origination, evaluation and execution of M&A opportunities across solar, wind, BESS and wider renewable energy assets.
Lead financial analysis and valuation work for acquisitions, disposals, joint ventures and development partnerships.
Build, review and maintain financial models to assess project returns, valuation, debt capacity and downside scenarios.
Coordinate due diligence workstreams, including financial, legal, technical, tax, commercial and regulatory due diligence.
Prepare investment papers, board materials and transaction recommendations for senior management and investment committee approval.
Support transaction structuring, including SPA negotiations, shareholder agreements, joint venture arrangements and development-stage acquisition structures.
Work closely with internal development, grid, technical, legal and finance teams to assess project risks and value creation opportunities.
Analyse market trends, competitor activity, route-to-market options, regulatory developments and investment opportunities in the Polish renewables market.
Manage relationships with developers, advisors, lenders, investors and other external counterparties.
Support portfolio optimisation initiatives, including refinancing, asset sales, partnerships and strategic growth opportunities.
Candidate Profile
Experience in M&A, corporate finance, investment banking, infrastructure investment, project finance or corporate development.
Strong exposure to renewable energy, infrastructure, power, utilities or energy transition assets.
Good understanding of renewable project economics, including development risk, grid, permitting, construction, PPA/merchant exposure and financing assumptions.
Strong financial modelling and valuation skills, including DCF analysis, IRR, NPV, debt sizing and sensitivity analysis.
Experience working on live transactions, including due diligence, valuation, documentation and deal execution.
Strong commercial judgement and ability to identify key risks and value drivers within renewable energy projects.
Comfortable working with senior stakeholders, external advisors and cross-functional internal teams.
Strong written and verbal communication skills.
Fluency in Polish and English would be highly advantageous.
